GoProp is a software service operated and offered by AGGREGATIVE VALUE SOLUTIONS AGGVAL LLC, a limited liability company formed in the State of New Mexico, United States (“AGGVAL”). Unless the context indicates otherwise, references in this document to “GoProp”, “we”, “us” or “our” refer to AGGVAL.

These Terms and Conditions of Use govern access to and use of GoProp, a software-as-a-service platform for the operational administration of condominiums, homeowners associations, communities, buildings, residential complexes or similar organizations.

By creating an account, contracting a plan, accessing the platform or using any of its features, the user accepts these Terms. If you do not agree, you must not use the service.

1. Definitions

For the purposes of these Terms:

  • AGGVAL, we, us or our means AGGREGATIVE VALUE SOLUTIONS AGGVAL LLC, a limited liability company formed in the State of New Mexico, United States, which operates and offers GoProp.
  • GoProp, the platform or the service means the software, website, administration panel, user portal and related services offered under the GoProp brand.
  • Client refers to the person, company, administrator, condominium, homeowners association or entity that contracts or uses GoProp to manage an organization.
  • User refers to any person who accesses GoProp, including administrators, co-owners, residents, authorized staff, guests or end users.
  • Organization refers to the condominium, homeowners association, community, building, residential complex or entity administered within GoProp.
  • Client Content refers to the data, documents, messages, statements, recorded payments, posts, images, text and any other information uploaded by the Client or its Users.

2. Nature of the service

GoProp is a technological tool to facilitate administrative, informational and operational tasks. GoProp does not act as the legal, financial, accounting, real estate, fiduciary, attorney, auditor, collection, mediation or representative agent of the Organization or its Users.

The Client is responsible for verifying the accuracy, legality and timeliness of all information uploaded or generated on the platform, including statements, payments, balances, documents, communications and reports.

GoProp may offer features to record payments, generate reports, publish information, manage documents, send communications and organize data. These features do not replace professional accounting, legal, tax, financial or administrative advice.

3. Eligibility and authority

To use GoProp, the User represents that:

  • they have the legal capacity to accept these Terms;
  • they have sufficient authorization to act on behalf of the Organization, where applicable;
  • the information they provide is true, current and complete;
  • they will use the service in accordance with applicable law and these Terms.

If a person uses GoProp on behalf of a company, condominium, homeowners association, community or entity, they represent having the authority to bind that entity to these Terms.

4. User accounts

The User is responsible for maintaining the confidentiality of their access credentials and for all activity performed from their account.

The User must notify us if they suspect unauthorized access, misuse, loss of credentials or any security incident related to their account.

We reserve the right to suspend or restrict accounts when we detect misuse, security risk, breach of these Terms or activity that could affect other users or the service.

5. Roles and permissions

GoProp may allow different roles, such as administrators, co-owners, residents or other profiles. The Client is responsible for correctly assigning permissions and periodically reviewing who has access to the Organization's information.

GoProp will not be responsible for errors in role assignment, improper access granted by the Client, or information shared by authorized users within the Organization.

6. Client content and data

The Client retains ownership of its Content. By using GoProp, the Client grants us a limited, non-exclusive license necessary to host, process, display, back up and transmit that content for the purpose of providing the service.

The Client represents that it has the right to upload, process and share Client Content within GoProp and that such content does not infringe third-party rights or applicable laws.

We do not pre-review all Client Content. We may remove, restrict or block content when we reasonably believe it violates these Terms, applicable law, third-party rights or platform security.

7. Acceptable use

The User agrees not to use GoProp to:

  • upload or distribute illegal, fraudulent, defamatory, discriminatory, abusive or misleading content;
  • send spam, unauthorized communications or improper mass messages;
  • impersonate identities or misrepresent information;
  • attempt to access accounts, data or systems without authorization;
  • interfere with the normal operation of the service;
  • upload malware, malicious code or dangerous files;
  • record payments, debts, balances or financial information fraudulently or deliberately falsely;
  • use the platform to harass, intimidate or harm residents, co-owners, administrators or other users.

We may suspend or cancel access in cases of serious or repeated breaches.

8. Payments, plans and billing

Access to GoProp may be subject to periodic fees, subscription plans, setup charges, additional services or other amounts communicated to the Client.

Prices, included features, usage limits and commercial terms may vary depending on the contracted plan, country, currency, promotions or specific agreements.

Unless otherwise stated in writing, fees paid are non-refundable except in the cases set out in the Refund and Cancellation Policy.

The Client is responsible for keeping its billing information up to date and for paying the corresponding amounts on time.

9. Free trials, demos and validation

We may offer free trials, demos, beta plans or validation access. These modalities may have limited features, sample data, restrictions, frequent changes or reduced availability.

We reserve the right to modify, suspend or end a free trial, demo or beta stage at any time, with or without prior notice, especially if we detect abusive use or a risk to the platform.

10. Cancellation and termination

The Client may cancel the service in accordance with the Refund and Cancellation Policy or the particular conditions of the contracted plan.

We may suspend or terminate access to the service if:

  • the Client breaches these Terms;
  • there are overdue payments;
  • fraudulent, abusive or illegal use is detected;
  • use of the service poses a risk to GoProp's security, stability or reputation;
  • we must do so to comply with the law or an order from a competent authority.

After cancellation or termination, access to the platform may be limited or deactivated. Data export and deletion will be governed by the Data Retention and Deletion Policy.

11. Service availability

We work to keep GoProp available and secure, but we do not guarantee that the service will be uninterrupted, error-free or available at all times.

The service may be affected by maintenance, updates, technical failures, infrastructure incidents, external providers, force majeure, connectivity issues or events outside our control.

Any specific availability commitment will be governed by the current Service Level Agreement, if applicable.

12. Backups and recovery

GoProp may perform backups in accordance with its current operational policy. Unless otherwise agreed in writing, backups are an internal continuity measure and do not replace the Client's obligation to keep its own critical records when required by law or its operations.

13. Third-party services

GoProp may integrate with or depend on third-party services, such as hosting, email, storage, analytics, payment gateway or authentication providers, among other tools.

We are not responsible for interruptions, changes, errors, costs, policies or practices of third-party services outside our control.

14. Intellectual property

GoProp, including its software, design, trademarks, interface, documentation, code, structure, features and own content, belongs to its owners or licensors.

These Terms do not transfer to the Client or User any intellectual property right over GoProp, except the limited right of use under the contracted plan and these Terms.

15. Confidentiality

Each party agrees to protect the other party's confidential information with a reasonable degree of care and not to disclose it except when necessary to provide the service, comply with these Terms, obtain professional advice or respond to legal obligations.

16. Limitation of liability

To the maximum extent permitted by applicable law, GoProp will not be liable for indirect, incidental, special or punitive damages, loss of profits, loss of data, business interruption, administrative decisions, accounting errors, conflicts between users, internal Organization claims, or consequences arising from information incorrectly uploaded by the Client or its Users.

GoProp's total liability, if any, will be limited to the amount actually paid by the Client for the service during the three months preceding the event that gave rise to the claim, unless applicable law requires otherwise.

17. No professional advice

The information, reports, templates or features of GoProp do not constitute legal, accounting, tax, financial, real estate or professional advice. The Client must consult qualified professionals before making decisions that require specialized advice.

18. Changes to the Terms

We may modify these Terms to reflect legal, technical, commercial or operational changes. We will publish the updated version together with its effective date.

If the changes are substantial, we will use reasonable means to notify the Client. Continued use of the service after the changes take effect implies acceptance of the updated version.

19. Applicable law and dispute resolution

The applicable law, jurisdiction and dispute resolution procedure will be governed by the Dispute Resolution Policy, unless otherwise agreed in writing or required by applicable law.
