GoProp is a software service operated and offered by AGGREGATIVE VALUE SOLUTIONS AGGVAL LLC, a limited liability company formed in the State of New Mexico, United States (“AGGVAL”). Unless the context indicates otherwise, references in this document to “GoProp”, “we”, “us” or “our” refer to AGGVAL.
This Data Processing Agreement sets out general conditions applicable when GoProp processes personal data on behalf of a Client in connection with the provision of the service.
1. Parties
This Agreement forms part of GoProp's Terms and Conditions of Use.
For the purposes of this Agreement:
- Client refers to the person, company, condominium, homeowners association, community, administrator or entity that contracts or uses GoProp.
- GoProp refers to the platform provider.
- Client Personal Data refers to personal data uploaded, generated or processed by the Client or its Users within GoProp.
- End Users refers to co-owners, residents, administrators, employees, providers, contacts or other individuals whose data may be processed on the platform.
2. Roles of the parties
The Client normally determines the purpose and essential means of processing Client Personal Data. In that case, the Client acts as data controller or an equivalent figure under applicable law.
GoProp processes such data following the Client's instructions and acts as data processor or service provider, as applicable.
When GoProp processes data for its own purposes, such as billing, security, support, business administration or legal compliance, GoProp may act as an independent controller with respect to that processing.
3. Purpose of processing
GoProp processes Client Personal Data to provide a platform for the operational administration of condominiums, homeowners associations, communities, buildings or similar organizations.
Processing may include hosting, storage, retrieval, organization, display, communication, backup, export, technical support, maintenance, security and deletion of data.
4. Duration of processing
Processing will continue for the duration of the contractual relationship between the Client and GoProp, and for such additional periods as necessary to comply with legal obligations, resolve disputes, maintain backups, prevent fraud or apply the Data Retention and Deletion Policy.
5. Categories of personal data
Depending on service usage, processed data may include:
- first and last names;
- email addresses;
- phone numbers;
- addresses;
- user identifiers;
- roles and permissions;
- information about units, properties or real estate;
- assignments between individuals and properties;
- administrative records;
- statements, recorded payments, balances or reports;
- messages, communications, posts or documents;
- files uploaded by the Client;
- technical data, logs, IP addresses and security records.
6. Categories of data subjects
Data may relate to:
- administrators;
- co-owners;
- owners;
- residents;
- tenants;
- Client employees or collaborators;
- providers;
- emergency or reference contacts;
- guest users;
- individuals interacting with public forms or support.
7. Client instructions
GoProp will process Client Personal Data solely to provide the service, comply with these Terms, follow the Client's reasonable instructions, comply with legal obligations, or protect the security and integrity of the platform.
The Client is responsible for ensuring that its instructions are lawful, adequate and consistent with applicable regulations.
If GoProp reasonably believes that a Client instruction may infringe the law or affect service security, it may reject, suspend or request clarification of that instruction.
8. Client obligations
The Client agrees to:
- have sufficient legal basis to upload and process personal data in GoProp;
- inform End Users when necessary;
- obtain consents when applicable;
- keep data accurate and up to date;
- assign access permissions appropriately;
- avoid uploading unnecessary or excessive data;
- handle End User rights requests when applicable;
- comply with privacy, data protection, consumer, condominium, association or other applicable laws.
9. Confidentiality
GoProp will use reasonable efforts to ensure that persons authorized to process Client Personal Data are subject to reasonable confidentiality obligations.
Internal access to data will be limited to those who need such access to operate, maintain, secure, support or improve the service.
10. Security
GoProp will apply reasonable technical and organizational measures to protect Client Personal Data against unauthorized access, loss, alteration, destruction or improper disclosure.
These measures may include access controls, authentication, logical data separation by organization, technical logs, backups, encryption in transit and reasonable operational security practices.
The Client acknowledges that no system is completely secure and that it must also apply adequate internal measures, such as protecting credentials, reviewing permissions, training users and keeping its own copies when appropriate.
11. Subprocessors and providers
GoProp may use external providers to deliver the service, including hosting, storage, email, security, support, analytics, billing, communications or other technical services.
GoProp will use reasonable efforts to ensure that relevant subprocessors are subject to reasonable contractual obligations of data protection, confidentiality and security.
When required by law or a specific agreement, GoProp will inform the Client about relevant subprocessors and material changes.
12. International transfers
Client Personal Data may be transferred to, or processed in, countries other than the country of residence of the Client or End Users.
When applicable law requires it, the parties will use reasonable efforts to apply appropriate international transfer mechanisms, such as contractual clauses, processing agreements or other available safeguards.
13. Assistance with rights requests
When GoProp acts as processor and receives a direct request from an End User relating to Client Personal Data, it may forward the request to the Client or respond indicating that the request should be directed to the Client, unless the law requires otherwise.
GoProp will provide the Client with reasonable assistance, to the extent technically possible and proportionate, in handling requests for access, correction, deletion, objection, restriction or portability.
14. Security incidents
If GoProp identifies a security incident that materially affects Client Personal Data, it will use reasonable efforts to notify the Client without undue delay after becoming reasonably aware of the incident.
The notification may include, to the extent available:
- general nature of the incident;
- categories of data affected;
- measures taken or recommended;
- point of contact for follow-up.
The Client will be responsible for determining whether it must notify authorities, End Users or other third parties, unless the law imposes a direct obligation on GoProp.
15. Deletion and return of data
After termination of the service, GoProp will allow data export in accordance with the Data Retention and Deletion Policy.
Once the applicable export and retention periods have elapsed, GoProp may delete or anonymize the data, unless it must retain it due to legal obligation, security, fraud prevention, technical backup, defense of claims or contractual compliance.
16. Audits and compliance evidence
Upon reasonable request by the Client and subject to confidentiality, GoProp may provide general information about its security measures and processing practices.
GoProp is not required to allow on-site audits, access to infrastructure, source code, sensitive security information, or data belonging to other clients, unless otherwise agreed in writing or required by applicable law.
17. Precedence
In the event of a conflict between this Agreement and the Terms and Conditions, this Agreement will prevail solely with respect to the processing of Client Personal Data when GoProp acts as processor.
18. Changes
GoProp may update this Agreement to reflect legal, technical, commercial or operational changes. The current version will be published together with its update date.
